Sherwood Shelving – Terms and Conditions

WELCOME TO SHERWOOD SHELVING! PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SERVICES.

YOUR USE OF SHERWOOD SHELVING, AND ANY RELATED SOFTWARE APPLICATIONS OR SERVICES PROVIDED IN CONNECTION WITH OUR OPERATIONS, CONFIRMS YOUR UNCONDITIONAL ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT THESE TERMS IN FULL, DO NOT USE THE SHERWOOD SHELVING SERVICE.

1. Acceptance of Terms and Conditions

These Terms and Conditions (the “Agreement”) constitute a valid, legally binding, and enforceable agreement between you and Excel Organizers Ltd., doing business as Sherwood Shelving (hereinafter referred to as “Sherwood Shelving”).

By using the Sherwood Shelving website (“Website”), software (“Software”), or services (“Services”), or by clicking to accept or agree where such an option is provided, you acknowledge and agree to be bound by this Agreement.

Sherwood Shelving reserves the right, in its sole discretion, to refuse service to any individual or entity for any reason.

2. Your Representations and Warranties

  • (a) You are of legal age and capacity to form a binding contract.
  • (b) You have full authority to enter into and perform under these Terms.
  • (c) Your use of the Website, Software, and Services will not infringe upon any third-party rights.
  • (d) You will comply with all applicable laws and regulations in connection with your use of the Website, Software, and Services.

3. Description of Services

The Website, and any software applications used or required by Sherwood Shelving, provide authorized users with access to Sherwood Shelving’s resources, manufacturing, and dealer network services. You understand that Sherwood Shelving may send service announcements or administrative messages as part of your account, and that such communications are necessary and cannot be opted out of.

The Services are provided “AS IS,” “WITH ALL FAULTS,” and “AS AVAILABLE.” Sherwood Shelving is not responsible for any delays, misdelivery, deletion, or failure to store information. You are responsible for providing your own internet access and any related fees or equipment.

4. Privacy Policy

Your registration data and certain other information may be subject to Sherwood Shelving’s Privacy Policy, available at www.sherwoodshelving.com. By using the Services, you consent to the collection, storage, and processing of your information by Sherwood Shelving and its affiliates, including transfers between jurisdictions as necessary to provide services.

5. User Account, Password, and Security

To become an authorized user, you must complete the registration process and agree to provide accurate and current information (“Registration Data”). Sherwood Shelving may suspend or terminate your account if the information is inaccurate or incomplete.

Usernames and passwords are issued by Sherwood Shelving and remain its property. Only one account is permitted per user. You agree not to share your login credentials or allow unauthorized access.

You are responsible for maintaining the confidentiality of your account information and for all activities under your account. You must notify Sherwood Shelving immediately of any unauthorized access or security breaches.

Sherwood Shelving may access or disclose account information if required by law or in good faith to comply with legal obligations, enforce these Terms, respond to claims, or protect Sherwood Shelving, its users, or the public.

6. User Conduct

You are solely responsible for all information and materials you upload, post, or transmit through the Website, Software, or Services. You agree not to upload or transmit content that infringes third-party rights; is defamatory, harassing, obscene, or illegal; promotes violence or discrimination; contains viruses or harmful code; or is misleading or fraudulent. Sherwood Shelving reserves the right (but not the obligation) to monitor, review, or remove any content deemed inappropriate or in violation of these Terms. Violations may result in suspension or termination of your account and possible legal action.

7. Proprietary Rights

The Website, Software, and Services contain proprietary and confidential information protected by intellectual property laws. You may not copy, modify, reverse-engineer, distribute, or create derivative works, except as expressly permitted by Sherwood Shelving. All trademarks, trade names, and service marks are the property of their respective owners. No rights are granted except those expressly provided herein.

8. User Content

Sherwood Shelving does not claim ownership of user-submitted content. However, by uploading materials to publicly accessible areas of the Website, you grant Sherwood Shelving a non-exclusive, worldwide, royalty-free license to use and display such content as reasonably necessary to provide or promote its Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sherwood Shelving, its affiliates, officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of the Website, Software, or Services, violation of these Terms, or infringement of any third-party rights.

10. Modifications to the Services

Sherwood Shelving reserves the right to modify, update, or discontinue the Services (or any portion thereof) at any time without notice. Sherwood Shelving shall not be liable for any resulting loss or inconvenience.

11. Termination by Sherwood Shelving

Sherwood Shelving may terminate or suspend your account at any time for cause (including violation of these Terms) or without cause upon 30 days’ written notice. Fees already paid are non-refundable.

12. Cancellation by You

You may cancel your account by providing written notice at least 30 days in advance. You remain responsible for all outstanding charges through the effective cancellation date.

13. Disclaimer of Warranties

Your use of the Website, Software, and Services is at your sole risk. The Services are provided “AS IS” and without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Sherwood Shelving does not guarantee that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

14. Limitation of Liability

To the fullest extent permitted by law, Sherwood Shelving shall not be liable for any indirect, incidental, consequential, or exemplary damages, including loss of profits, revenue, data, or use, arising from your use of the Website, Software, or Services. Your sole and exclusive remedy for dissatisfaction is to discontinue use.

15. Manufacturing Terms

Sherwood Shelving manufactures custom wood products and cabinetry to customer specifications. Orders placed through the Website or Software are binding once confirmed by Sherwood Shelving.

Manufacturing timelines and pricing are subject to material availability and production capacity. Sherwood Shelving is not liable for delays caused by supply shortages, transportation issues, or events beyond its control.

Custom orders may not be canceled or refunded once production has begun. Defective or damaged products will be handled in accordance with Sherwood Shelving’s warranty and replacement policy.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada. Any disputes shall be resolved exclusively within the courts of British Columbia, Canada. Each party irrevocably submits to the jurisdiction of such courts and waives any objection based on venue or forum non conveniens.

17. Miscellaneous

  • Force Majeure: Sherwood Shelving shall not be liable for delays or failure to perform due to events beyond its reasonable control.
  • Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver: Failure by Sherwood Shelving to enforce any right or provision shall not constitute a waiver.
  • Independent Relationship: No partnership, joint venture, or employment relationship is created by this Agreement.
  • Notices: Sherwood Shelving may communicate with you electronically. Notices to Sherwood Shelving must be sent in writing to:
